1. Services Overview

1.1 Ads Consulting Services

  • The "Campaign management " service provides ongoing campaign management on a retained basis

  • Monthly reporting call

  • 1 working day response time

  • Monthly retainer with automatic renewal

1.2 Project-Based Services

  • One-time projects quoted individually

  • Scope and deliverables defined before project start

  • Revision limits specified in project quote

  • Timeline agreed upon before project commencement

2. Service Terms

2.1 Retainer Terms

  • Month-to-month retainer with no minimum commitment

  • 30-day notice required for cancellation

  • Unused time does not roll over to next month

  • Services non-transferable to other parties

2.2 Project-Based Terms

  • Deposit required to commence work

  • Additional services to be quoted separately

  • Project timeline begins upon receipt of deposit and all required materials

3. Scope of Work

  • Account audits

  • Campaign research

  • Competitor analysis

  • Campaign setup

  • Campaign management

  • Reporting

3.2 Excluded Services

  • Asset creation

  • Design edits

  • Billing setup

  • Website management

4. Client Responsibilities

4.1 Required Materials

  • Brand guidelines (if existing)

  • Content and copy

  • Creative assets (images/video)

  • Project brief and requirements

  • Timely feedback and approvals

4.2 Communication

  • Single point of contact for project management

  • Response within 3 business days for feedback

  • Clear articulation of revision requests

  • Availability for scheduled meetings

5. Intellectual Property

5.1 Rights and Ownership

  • Client receives full ownership of final deliverables upon full payment

  • Client responsible for trademark/copyright research

6. Termination

6.1 Retainer Termination

  • Either party 30-day written notice required

  • Active projects must be completed or terminated

7.2 Project Termination

  • Cancellation fee of 25% if terminated before completion

  • All work completed and paid for is client property

  • Deposit non-refundable after work begins

8. Confidentiality

  • Non-disclosure of client business information

  • Secure storage of client materials

  • Private project details unless authorised

  • Confidentiality extends post-project

9. Limitation of Liability

  • Maximum liability limited to project fees paid

  • No responsibility for third-party services

  • No guarantee of specific business results

  • Force majeure clause for circumstances beyond control

10. Dispute Resolution

  • Good faith negotiation first step

  • Mediation before litigation

  • Jurisdiction: London, UK

  • Prevailing party entitled to legal fees

11. Modifications

  • Terms may be updated with 30-day notice

  • Retained clients notified via email

  • Continued use constitutes acceptance

  • Special terms require written agreement
